Job Description:
Tax Law Attorney
The candidate to support and team with Business and Tax Group in the areas of: choice of entity, tax structuring for transactions (including mergers, acquisition and reorganizations) and equity compensation arrangements. Must have extensive experience with S Corporations, LLCs and Partnerships. Familiarity with Section 409A of the Code preferred. Will research and advise on complex tax transactions including multi-asset 1031 exchanges, forming and implementing opportunity zone funds, and will be expected to draft, review and negotiate a wide range of business and commercial agreements, including, but not limited to, operating agreements, stockholder agreements, merger agreements, stock purchase agreements, and asset purchase agreements. Should have LL.M in taxation and excellent academic credentials. Must have 4 years of relevant transaction tax experience at a reputable law firm. Should have excellent research, communication and legal writing skills, with a high level of attention to detail. Should have current ability to practice law in Maryland and/or the ability to sit for or waive into the Maryland bar.
