Demonstrated ability to communicate effectively and efficiently on complex matters, in written, verbal and presentation media. Broad experience in a multi-national, public corporation environment, either as in-house counsel, and/or external contract counsel.
Job Description:
Associate General Counsel
Duties: Work closely with senior management, company s Board of Directors and Investor Relations in the support of annual stockholder meeting; and monitors regulatory developments. Assist General Counsel in preparing and providing advice regarding securities law disclosure/compliance for Annual Reports on Form 10-K Quarterly Reports on Form 10-Q, Current Reports on Form 8-K, proxy statements and various registration statements. Provide legal support to the Company s Board of Directors and Board Committees on various corporate governance matters, which includes drafting and reviewing materials prepared for the Board of Directors and Board Committee meetings. Respond to general corporate and securities disclosure questions, including but not limited to preparing or commenting on board resolutions. Assist with preparations and the planning of annual stockholder meeting. Provide legal advice and counseling with respect to various securities law, including compliance with the Securities Act of 1933, the Securities and Exchange Act of 1934, Regulation FD and Sarbanes-Oxley. Advise on compliance with NASDAQ listing standards and assist with NASDAQ submissions. Partner with our Investor Relations team regarding public company communications, including press releases, investor presentations, earnings announcements and other disclosures. Partner with the company s stock administration team and assist with administering our Insider Trading Policy, 10b5-1 plans and related employee and non-employee director equity matters. Administer build-out of company s internal policies and procedures related to compliance with laws and regulations applicable to a public company, including training and assisting the company s legal team with reporting, disclosure, and investigatory requirements. Act as an expert advisor for contracts in negotiations to provide appropriate legal perspective and to prevent acceptance of undue risk. Responsible for drafting, reviewing and negotiating a wide range of contracts. Responsible for management of the company s contract administration policy, including oversight and direction applied to the maintenance of regional contract administration programs.. Responsible for establishing, implementing and maintaining contract templates, forms and administration globally. Collaborates with regional trading bloc leaders and staff on the successful use of consistent contract content that meets legal and business needs. Assists regional offices with contract analysis, assessment of risk and decision-making as to the need for local outside counsel support. Directly and indirectly leads internal legal, contract and administration team members in the support and execution of contracts required by the business. Own the implementation and refinement of the company contract management system, procurement policies, including third party risk management. Oversees appropriate use of outside counsel, including limited engagements with international firms retained regionally for contract drafting, negotiation and review functions. Has direct oversight, supervision and reporting responsibility for the tribe members, whose primary role is the performance of legal services. Increases the operational efficiency between the Business & Legal team and other internal departments (e.g., marketing, quality, innovation, IT, HR, finance and R&D). Broad experience supporting Legal in the development and refinement of policies, processes and practices to improve the effectiveness and efficiency of business and legal affairs. Assist with optimizing workflows within the legal department. Identify and implement department tools to streamline new or existing practices, as well as helping design rollout and training for new systems. Collaborate with cross-functional teams including finance, customer support, operations, product, and engineering, as well as other business units on various projects. Assist with developing policies and processes to manage company-wide compliance and corporate governance. Assist with entity management and corporate matters, including scheduling meetings and maintaining corporate files. Facilitate data privacy assessments, prepare data protection documentation and ensure program materials are maintained and up-to-date.
