Job Description:

General Purpose:

To maximize overall productivity, efficiency, and quality of Legal Department. To ensure full legal compliance with all federal, state, county, city, and local laws as they pertain to the company, and the company’s Partners, employees and customers.

Assist the General Counsel in planning, directing and coordinating legal matters in the company and subsidiaries. Prepare and review a wide variety of company documents. Available to consult with management, tax experts, accountants, HR, sales, and other employees or advisors. Draft and negotiate contracts, such as real estate, property, supply, equipment purchases, leases, among others. Give advice and support company’s reorganizations: Mergers, acquisitions, incorporations, spin-offs, etc; Follow up with outside counsel on litigation matters; review and authorize the external counsel expenses and fees.

Main Responsibilities:

  • Special projects as may be assigned by General Counsel in support of the Legal Department.
  • Effectively interface with client representatives and lawyers to ensure that corporate and divisional policies and procedures are applied consistently across the Division.
  • Responsible for identifying legal issues; analyzing laws and regulations to assess potential risks and identify options; and communicating recommendations.
  • Provide legal support and assess legal aspects of mergers and acquisitions, internal reorganizations.
  • Oversee the contract review process for the company’s line of business
  • Provide litigation support and assess legal aspects of potential litigation.
  • Monitor legal department operating budget.
  • Provide consultation to management and other areas of the company.
  • Attend and present legal matters information and status at monthly review meetings.
  • Remain knowledgeable of legal matters of the company.
  • Assist outside counsel with required information from the company and subsidiaries.
  • Attend meetings with outside counsel in order to expedite legal processes and take decisions on how to proceed.
  • Develop a proactive legal culture within the company.
  • Ability to coordinate outside counsel.
  • Good negotiation skills.
  • Skill in oral communication; speaks clearly and persuasively in positive or negative situations; listens and gets clarification.

Education: Bachelor's Degree in Law

Knowledge/Skills/Abilities:

  • Two years’ experience in corporate law.
  • Must have knowledge of mergers and acquisitions in the U.S.
  • Must have experience in working and managing outside counsel.
  • Basic Spanish speaking and writing.
  • Ability to read, analyze, and interpret general business periodicals, professional journals, technical procedures, or governmental regulations. Ability to write reports, business correspondence, and procedure manuals. Ability to effectively present information and respond to questions from groups of managers, clients, customers, and the general public.
  • Demonstrate attention to detail. Identify and resolve problems in a timely manner; Gather and analyze information skillfully.

Job Type: Full-time

Pay: $80,000.00 - $90,000.00 per year
